KeepNI LICENSE AGREEMENT AND LIMITED WARRANTY

This is a legal agreement between you (either an individual or an entity) and BATL

Advanced Technology LTD. ("BATL"). BY OPENING THE SEALED SOFTWARE PACKAGES

AND/OR INSTALLING THE SOFTWARE ON A COMPUTER OR EXERCISING YOUR

RIGHTS TO MAKE AND USE A COPY OF THE SOFTWARE PRODUCT, YOU ARE

AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO

This is a legal agreement between you (either an individual or an entity) and BATL

Advanced Technology LTD. ("BATL"). BY OPENING THE SEALED SOFTWARE PACKAGES

AND/OR INSTALLING THE SOFTWARE ON A COMPUTER OR EXERCISING YOUR

RIGHTS TO MAKE AND USE A COPY OF THE SOFTWARE PRODUCT, YOU ARE

AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO

NOT AGREE TO THE TERMS OF THIS AGREEMENT, PROMPTLY ERASE ALL

COPIES OF THE SOFTWARE IN YOUR POSSESSION AND IF APPLICABLE RETURN

THE SOFTWARE PACKAGE AND THE ACCOMPANYING ITEMS TO THE PLACE

YOU OBTAINED THEM FOR A FULL REFUND.

GRANT OF LICENSE. This license agreement ("License") permits you to use one copy of

the KeepNI program (the "Software") on a single computer, FOR EVALUATION PURPOSE ONLY.

COPYRIGHT. The Software is owned by BATL Advanced Technology LTD. or its suppliers and is

protected by Israeli Copyright Laws, International Treaty provisions, and all other

applicable national laws. Therefore, you must treat the software like any other copyrighted

material (e.g., a book or musical recording). You may make one copy of the Software solely

for backup or archival purposes.

OTHER RESTRICTIONS. You may not rent or lease the Software, but you may transfer

this License, the Software and all accompanying user documentation, retain no copies, and

the recipient agrees to the terms of this License. You mat not reverse engineer, decompile or

disassemmble the Software, except to the extent the foregoing restriction is expressly

prohibited by applicable law.

EVALUATION PERIOD - This is not a free software. You are hereby

licensed to use this Software for evaluation purposes without charge for a period of 30 days.

If you use the Software after the 14 day evaluation period a license must be purchased.

LIMITED WARRANTY. BATL warrants that that the software will perform substantially

in accordance with the accompanying user documentation "as is" for a period of 90 days

from the day of receipt.

CUSTOMER REMEDIES. BATL’s entire liability and your exclusive remedy shall be, at

BATL’s option, either (a) return of the price paid or (b) repair or replacement of the

Software that does not meet BATL’s limited warranty and which is returned to BATL with

a copy of your receipt. This limited warranty is void if failure to the Software has resulted

from accident, abuse, or misapplication. Any replacement Software will be warranted for the

remainder of the original warranty period or 30 days, whichever is longer.

NO OTHER WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY

APPLICABLE LAW, BATL DISCLAIMS ALL OTHER WARRANTIES OF

MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE WITH

RESPECT TO THE SOFTWARE AND THE ACCOMPANYING USER

DOCUMENTATION.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES. TO THE MAXIMUM

EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BATL OR ITS

SUPPLIERS BE LIABLE FOR ANY OTHER DAMAGES WHATSOEVER (INCLUDING

WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, LOSS OF

BUSINESS INFORMATION OR OTHER PECUNIARY LOSS ) ARISING OUT OF THE

USE OR THE INABILITY TO USE THE SOFTWARE. IN ANY CASE, BATL’S ENTIRE

LIABILITY UNDER ANY PROVISION OF THIS AGREEMENT SHALL BE LIMITED

TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE.

This Agreement is governed by the laws of Israel
